Client Responsibilities
Clients agree to:
l Provide accurate information and project requirements.
l Provide timely feedback and approvals.
l Cooperate throughout project execution.
l Make payments according to agreed schedules.
l Provide access to systems, personnel, and resources necessary for project delivery.
Project Delivery
Project timelines are estimates and may be affected by:
l Changes in project scope
l Delayed client approvals
l Third-party dependencies
l Technical limitations
l Regulatory requirements
l Force majeure events
JMDL Consulting shall not be liable for delays caused by factors outside its reasonable control.
Training Programs
Participants must comply with all training requirements, attendance expectations, and program guidelines.
Completion of training does not guarantee employment, certification, promotion, or business success.
Intellectual Property
All methodologies, proposals, templates, documentation, presentations, training materials, software configurations, reports, and consulting frameworks remain the intellectual property of JMDL Consulting unless otherwise agreed in writing.
No material may be copied, distributed, reproduced, modified, or resold without written authorization.
Confidentiality
Both parties agree to maintain the confidentiality of proprietary, technical, financial, and operational information disclosed during engagements.
Payments
Clients shall make payments in accordance with agreed contractual terms.
JMDL Consulting reserves the right to suspend services where invoices remain unpaid beyond agreed due dates.
Limitation of Liability
JMDL Consulting shall not be liable for:
l Loss of profits
l Business interruption
l Data loss
l Indirect or consequential damages
l Third-party software failures
l Vendor service disruptions
Total liability shall not exceed the amount paid for the specific service giving rise to the claim.
Termination
JMDL Consulting reserves the right to suspend or terminate services where:
l Payment obligations are not met.
l False information is provided.
l Contractual obligations are breached.
l Continued engagement becomes impractical.
Governing Law
These Terms and Conditions shall be governed by applicable laws and regulations in the jurisdiction where the service agreement is executed.
